NACE Bylaws 

ARTICLE I

Membership

SECTION 1.
Application for Voting or Associate membership shall be made on the forms provided by the Association, and shall be forwarded to the Executive Director. The Executive Director, in consultation with the appropriate Regional Vice President, will certify the proper classification of membership, and forward the application to the President for final approval.  The applicant’s name shall be entered on the Association’s records and be entitled to all rights and privileges of the Association for that classification of membership. Should the President or the Regional Vice President disapprove an application, it shall be submitted to the Board of Directors for review and final action.

SECTION 2.
Life and Honorary Memberships must be approved by favorable action of the Board of Directors.

SECTION 3.
Former members may be reinstated by payment of the current year’s annual membership fee.

SECTION 4.
Membership in the Association will expire upon request (resignation) or for non-payment of dues. The “non-payment of dues” consideration becomes effective after no response to two(2) notices and/or no response within four(4) months of the beginning of the current calendar year.

ARTICLE II

Annual Membership Fees

SECTION 1.
The annual membership fee for Voting and Associate members shall be $130.00 (U.S.funds), payable to the National Association of County Engineers. The Executive Director shall send fee notices to the membership about January 1 for fees payable on February 1 covering the current year. Should any fees remain unpaid as of March 1, the Executive Director shall send a second notice. When a new member is accepted in the last quarter of any calendar year, his or her membership fee shall be considered as full payment for the following year.

SECTION 2.
Single Institutional Member
The annual membership fee for an Institutional Member shall be the same amount as that for a Voting Member.

Two or more Institutional Members from the Same Institution
The annual membership fee for each Institutional Member, with two or more Institutional Members from the same institution, shall be determined by the annual membership fee for a Voting Member, multiplied by 0.67, rounded up to the nearest five-dollar increment.

SECTION 3.
The annual membership fee for corporations shall be determined by the Board of Directors.

SECTION 4.
Affiliates that pay the National Association of County Engineers membership fee for their members as a unit will pay a fee of $120.00 (U.S.funds) per each membership. Any NACE member whose dues have not been submitted to NACE by a state association by March 15 of any year, will be billed by NACE at the individual rate of $130.00 in lieu of the group rate of $120.00 per member.

SECTION 5.
Honorary Members shall be exempt from payment of the Association membership fees.

SECTION 6.
Life Members shall be assessed a $15.00 per year service fee.

ARTICLE III

Budget and Expenditures

SECTION 1.
The business year for the purposes of dues collection, shall be the calendar year. The fiscal year shall be from May 1 of one year to April 30 of the following calendar year.

SECTION 2.
The Executive Director, Secretary-Treasurer and President Elect shall prepare a proposed annual budget for the fiscal year for the Association business and present it to the Board of Directors at the time which the Board shall specify. The Board of Directors shall finalize and adopt the budget at the Annual Meeting. A copy of the adopted budget will be sent to the General Membership by the Executive Director.

SECTION 3.
The Board of Directors may authorize changes in, or additions to the budget from time to time as the finances of the Association permit or justify.

SECTION 4.
The Board of Directors shall establish the procedures for authorizing the payments of expenses incurred by an officer, Executive Director or other authorized persons while engaged in Association business or research work.

SECTION 5.
All receipts shall be deposited in a depository approved by the Board of Directors, and verified claims shall be paid by a check bearing the signature of either the President, Secretary-Treasurer, Executive Director, or the Assistant Executive Director.  All depository records, pass books, check books, and expenditure records shall be kept with the Executive Director.

ARTICLE IV

Regional Vice Presidents

SECTION 1.
There shall be five (5) Regional Vice Presidents, serving the Western, North Central, South Central, Northeast, and Southeast Regions. The Regional Vice Presidents from the Western, North Central and Southeast Regions shall be elected in the odd numbered years. The Regional Vice Presidents from the South Central and Northeast Regions shall be elected in the even numbered years.

SECTION 2.
The Regional Vice Presidents' tenure in office shall be limited to not more than two full terms, plus the remainder of any unexpired term that the individual was appointed to fill.

SECTION 3.
A Regional Vice President candidate shall be a Voting Member employed in the region for which the individual is a candidate.

ARTICLE V

Committees

SECTION 1.
Standing Committees of the Association may be created, altered or discontinued by the Board of Directors, who shall also specify the tenure of such committee membership. The President-Elect, with the assistance of the Regional Vice Presidents, shall appoint the committee members and the chairs, prior to the annual conference at which the President-Elect assumes the duties of President. The President, or his designee, and/or the Board of Directors shall assign duties and provide direction for the Committees.

SECTION 2.
Standing Committees are hereby created as follows:

Past Presidents Committee: composed of all Past Presidents of the Association.

Membership Committee, eight(8) members composed of the President-Elect, the Regional Vice Presidents and two appointed Voting Members. Tenure of the Regional Vice Presidents and one year for others. The President-Elect shall be the chairman.

Constitution and By-Laws Committee: five(5) members, three year terms, one from each region, with the members from the South Central and Northeast Regions appointed in 1985, the North Central region member appointed in 1986 and the Southeast and Western Regions members being appointed in 1987. Future appointments shall follow the same pattern.

Nominating Committee: five(5) members, two year terms, one from each region, with the members from the Western, North Central and Southeast Regions being appointed in the odd numbered years and the members from the South Central and the Northeast Regions being appointed in the even numbered years.

Resolutions Committee: three(3) members, one year term.

Awards Committee: five(5) members, two year terms, one from each region, with two appointed on even numbered years and three on odd numbered years.

Legislative Committee: eleven(11) members, two from each region and a Chairperson. Two year terms. The Chair to be appointed in odd numbered years and one member from each region to be appointed each year.

NACE representatives to the National Committee on Uniform Traffic Control Devices (NCUTCD): Three(3) members and three(3) alternate members. Three year terms, with one member and one alternate member appointed each year. All members of the committees may be reappointed unless otherwise specified or disqualified.

SECTION 3.
Special Committees as may be deemed necessary may be created or discontinued by the President, who shall appoint the members and the Chairman. These Committees shall serve for a period not to exceed the appointing President’s term of office, but they may be reappointed by the next President, where it is desirable or necessary to provide for continuity of effort and effect in certain activities of the Association, and/or as specified under separate agreements, trusts, contracts or arrangements entered into and approved by the Executive Committee.

SECTION 4.
The Board of Directors shall create, alter or discontinue any specific Research Committees and appoint or terminate the membership and chair for such committees. The Board of Directors shall assign research projects to the Regional Vice Presidents when necessary. The Regional Vice Presidents shall appoint any membership grade of NACE as necessary in formulating the research committee to finalize the goals and objectives of the research projects, in a timely manner. The Regional Vice Presidents may appoint a chair or chair the committee themselves, but in either case, the Regional Vice Presidents are responsible for finalization of the assigned research project in a timely manner.

SECTION 5.
The President shall appoint all members required to serve on any joint association committees which may be established.

ARTICLE VI

Amendments

SECTION 1.
A proposed amendment to the By-Laws may be presented to the Board of Directors at a board meeting or may be submitted in writing to the Executive Director at any time.

SECTION 2.
Approval of a proposed amendment shall require a simple majority vote of the NACE elected Directors, the appointed Directors and the Directors at Large who are present at the meeting.

SECTION 3.
Approved amendments to the By-Laws shall become effective at the close of the Board of Directors meeting or as otherwise provided. A copy of the approved amendments will be sent to the general membership by the Executive Director.
